Terms of service
The rules between WebHub and the company that uses Trato: the account, the free trial, the plans and what each side is responsible for.
The agreement
These terms apply between WebHub, which makes and operates Trato, and the company that creates an account. Whoever creates the account declares that they can represent the company and accept these terms on its behalf. The acceptance is recorded with the version, the language and the time.
The Privacy policy is part of these terms.
What Trato is
Trato is a sales process that runs on its own: it receives whoever arrives through the company's channels, replies, picks conversations back up, follows each contact up to the sale and beyond, and hands over to a person on the team when the rule of the stage says so. The company chooses, stage by stage, whether Trato acts alone, acts with the team's approval, or the team acts.
Trato writes and suggests; the company is responsible for what goes out in its name. Trato never records a sale or a cancellation on its own: that is an event the company records through its website, the API or by hand.
The account and access
The company is responsible for whom it invites, for the profile it gives each person, and for keeping passwords secret. Tell WebHub about any misuse of the account.
WebHub may suspend access in the face of a risk to security, to other customers or to the channels, giving notice as soon as possible.
The free trial
The free trial lasts 14 days, with no card, within test limits: 300 credits, up to 500 imported contacts and campaigns of up to 100 recipients; contacts who arrive on their own have no limit. At the end, the company chooses the contact tier and pays, with everything kept. Without payment, Trato stops, the account becomes read-only for 30 days and then the data is deleted, with notice beforehand.
Plans, billing and cancellation
The plan is by contact tier, monthly or annual, at the prices published on the Trato page, in the currency of the version the company started with: reais in Brazil, dollars internationally. Each plan includes an allowance of credits for what Trato does; above it, the company may turn on a cap for additional usage, charged in the following cycle.
Charges go to the payment card, through the payment provider. A declined payment is retried on days 1, 3 and 5. With a charge overdue, the account becomes read-only on day 30, and the data is deleted on day 90, with notice beforehand.
On the annual plan, the company takes on a 12-month commitment and, in return, has its price guaranteed for that period. Cancellation takes effect at the end of the paid period: on the monthly plan, the end of the month; on the annual plan, the end of the commitment. There is no refund of a period already paid, except where the law guarantees it.
Prices may change with 30 days' notice; the change does not affect the guaranteed price of an annual plan in progress.
What the company guarantees
When creating the account, importing contacts and using the API, the company declares that it has the contacts' consent to reach them and the data deletion mechanisms the law requires, in Brazil and wherever the contacts are, and that it follows the rules of the channels and platforms it connects, such as the WhatsApp Business policies.
The company does not use Trato for unsolicited bulk messages, for illegal, misleading or offensive content, to contact people who asked to stop, or to try to access other companies' data or circumvent the limits of the service.
The content the company brings in (contacts, messages, files, the texts of its Base) belongs to the company. The company grants WebHub a license to process that content only to provide the service.
What WebHub guarantees
WebHub operates Trato with care and keeps it available, with maintenance stops announced whenever possible. WebHub handles data as the Privacy policy says and does not use the company's content for any other purpose.
Trato is a service that evolves: features may change, arrive and leave. A change that reduces something essential is announced in advance.
Trato depends on third-party channels and services: email, WhatsApp, language models, payments. WebHub is not liable for failures of those third parties, but works to get around them.
Ownership
Trato, the WebHub brand and what WebHub creates (the code, the design, the product's texts) belong to WebHub. The company receives the right to use the service while the account exists; nothing else is assigned.
Liability
Trato helps you sell; it does not guarantee a commercial result. WebHub is liable for the direct damages it causes, up to the amount the company paid in the 12 months before the event. WebHub is not liable for lost profits or indirect damages, except where the law does not allow such a limit.
The company is responsible to its contacts and to the authorities for how it uses Trato, for the contacts' consent and for the content of the messages.
Termination
The company may cancel at any time from within Trato. WebHub may close the account for a breach of these terms, with notice and time to fix it, except in a serious case. Before the data is deleted, the company may export its contacts.
Changes to these terms
When the terms change, we publish the new version here, with the date, and notify account holders by email. Continuing to use Trato after the notice means accepting the new version.
Law and jurisdiction
These terms are governed by the laws of Brazil. For any dispute, the parties elect the courts of the district of WebHub's registered office, waiving any other.
